Board of Directors’ Recommendations

The Arrangement Agreement has been unanimously approved by the Boards of Directors of Tahoe and Lake Shore Gold, and each board recommends that their respective shareholders vote in favor of the Transaction.

GMP Securities L.P. and BMO Capital Markets have provided opinions to the Board of Directors of Tahoe and to the Lake Shore Gold Special Committee, respectively, stating that, and based upon and subject to the assumptions, limitations, and qualifications set forth therein, the consideration offered pursuant to the Transaction is fair, from a financial point of view, to the Tahoe shareholders and Lake Shore Gold shareholders, respectively.

Transaction Summary

The proposed business combination will be effected by way of a Plan of Arrangement completed under the Canada Business Corporations Act. The Transaction will require approval by 66 2/3 percent of the votes cast by the shareholders of Lake Shore Gold at a special meeting of Lake Shore Gold shareholders. The issuance of Tahoe common shares in connection with the Transaction will require the approval of a simple majority of the shareholders of Tahoe voting at a special meeting. Officers and directors of Lake Shore Gold and Tahoe intend to enter into voting support agreements, pursuant to which they will vote their common shares held in favor of the Transaction. In addition to shareholder and court approvals, the Transaction is subject to applicable regulatory approvals and the satisfaction of certain other closing conditions customary in transactions of this nature.

The Arrangement Agreement includes customary provisions including non-solicitation provisions, a right to match any superior proposal and a C$37.8 million termination fee payable to Tahoe under certain circumstances. A C$20.0 million termination fee is payable to Lake Shore Gold under certain circumstances.

A change of control offer will be made for Lake Shore Gold’s outstanding 6.25% convertible senior unsecured debentures (the “Debentures”) in accordance with their trust indenture dated September 7, 2012. During the 30 day period following the effective date of the Arrangement Agreement, Debenture holders will receive notice (the “Debenture Change of Control Notice”) stating that a change of control has occurred along with an offer to purchase the Debentures at 100% of the principal amount plus accrued and unpaid interest on the date that is 30 business days following delivery of the Debenture Change of Control Notice. As part of the Arrangement Agreement, Lake Shore Gold has agreed not to purchase any of its outstanding securities. Accordingly, Lake Shore Gold is suspending its normal course issuer bid for the Debentures.

Timing

Full details of the Transaction will be included in the management information circulars of Tahoe and Lake Shore Gold and are expected to be mailed to their respective shareholders in early March 2016. It is anticipated that both shareholder meetings and closing of the Transaction will take place in early April 2016.

Yellen on Squawk Alley right now. It’s like they are blaming her for all that’s wrong and things she has no real control of like wages that until now none of the congress seemed to give a hoot about before including the outsourcing and insourcing of jobs where they train their foreign replacement, over regulations and taxing. Where is the regulations with hiring foreign workers over foreign and now they passed the TPP. Now the internal fights start looking for a fall guy. It looks like they are trying to push her to lower rates and also complaing about low oil prices. They’re looking for a fall guy it appears.

about serious health problems that they or their friends and relatives had…I have seen many of my friends die over the years from chronic and degenerative illnesses that are EASILY  reversible by alternative means like the macro diet or other approaches…but simply grabbing here and there from a hodge-podge of supplements or herbs or special foods…or switching to skinless chicken and yogurt will do nothing to slow down the disease process–radical change is needed–especially for the elderly—a complete plan of ORDERLY healthy food selection–with 2 or 3 complete meals daily–over an extended period of time is what is needed–the MB diet is just food–and the worlds healthiest food–so there can be no danger IF it is implemented correctly–so stop moaning and groaning…the power to cure is in your own hands and will power–but u will need to make a radical change–if u like the comfort of your current food habits and the social ritual of “dining out” more than being pain free–more than having a deep sweet sleep and good mood instead of a restless sleep, nightmares and morbid thoughts…then stick to your current lifestyle…stop the “poor me” business and the bellyaching…the “cure is in the kitchen”–hard to believe, I know…this is not an unusual MB testimonial…IF one does the diet correctly and over time-if there is anything I can do to help or guide you re: the MB diet, let me know-free of charge, of course-I have never done it for money…

 

Stage 4 kidney cancer

Bob MikellTo all those walking in my path … it’s normal to be scared and skeptical at times when faced with something that seems to take all the control of your LIFE out of your hands and places it in the hands of strangers.

Just think positively and do not put your eyes on the path, but look up into the sky and breathe the fresh air, for it is here that your strength and healing will come.

You should know that I’d never been admitted to a hospital for anything before all of this happened. Sure, I’d get colds and the flu, but basically I was an average healthy person. I had worked for 26 years as a police officer and retired early as the commanding officer of the Investigation Bureau of the County Prosecutors Office in Somerset, N.J. I had learned to be invincible and deal with anything I had to deal with.

But I certainly wasn’t prepared to deal with kidney cancer. That happens to smokers and people who abuse themselves. Not me.

I’m truly a novice at all of this. But I’ve read several books and researched macrobiotics (MB) for hundreds of hours on the Internet. My girlfriend at the time and my four wonderful and loving adult kids also have spent hundreds of hours researching cancer treatment options.

I didn’t have the luxury of time when I was diagnosed with Stage 4 kidney cancer (renal cell carcinoma) on Oct. 30, 2002. On the day before Thanksgiving, Nov. 27, 2002, the top kidney surgeon at Sloan Kettering Medical Center in New York removed my right kidney – and a tumor the size of a football. An exploratory examination and biopsies were done. I was told they got it all.

Three months later, I learned that the cancer had spread to my liver and lungs. In a six week period CT scans showed the cancer tumors had grown 35 percent. Doctors ran more tests and consulted with other “medical experts” at Sloan Kettering. They decided that the best approach would be a clinical trial drug called Interferon. This drug had some success (15 percent) with slowing the growth of kidney cancer in clinical trials. I was told there is NO MEDICAL CURE for Kidney Cancer.

On my oncologist’s recommendation, I started weekly Interferon treatments. The side effects and success ratio from this and the other traditional medical options (chemo, Interferon, etc.) were well known. Doctors are not well versed, though, on nutritional aspects of healing or food in general. In my case, Stage 4 kidney cancer meant a 15 percent success rate with conventional medical treatment. But the definition of “success” was never clear, their hopes were that it would give me a few more months to live, certainly not cure me.

About five weeks into my Interferon treatments, I had to be taken off the drug because of the deleterious effects it was having on my white and red blood cell counts every week. The doctors told me I’d have to give my body about eight weeks to rebuild from the damage the medication caused, and then they could try something else. They had no hopeful answers as to what was next with traditional medicine. Recovery did not look like an option.

In May, 2003, I started a very strict macrobiotic healing diet (also known as a cleansing diet). This was five months after my surgery … and I’ve never looked back. The knowledge and counseling of a good MB nutritionist was most helpful. My first counselor was Elaine Nussbaum, from here in New Jersey, and another MB cancer survivor. Elaine and Janet Vitt Sommer are my heroes. Their own path to recovery from cancer gave me hope and vision for my recovery. Their kindness, caring and thoughtful advise helped save my life, and I love them dearly.

I was determined to find a way to have “quality of life,” no matter what the time frame might be. I was torn between going with the medical recommendations to try other clinical trial drugs or with staying strictly on the MB approach. Early in my macrobiotic journey, I was hesitant and skeptical. I needed major persuasion and information to get started. There are so many wacky things on the Internet – some legitimate, others just scams or hype.

What convinced me that MB was the way to go was having the ability to control something in my life. That convincing came from attending classes and also speaking to dozens of Cancer survivors at my first Macrobiotic Conference. I didn’t know if the disease would respond to a macrobiotic approach, but the diet certainly couldn’t harm me. My research told me it made sense –even though I had no experience with it. It was something I could work on with a positive mindset, when everything surrounding me in the medical arena seemed negative and unclear at best.

In a short period of time I was already feeling the positive effects of the MB diet. For example, I’d been on Atenenol to control my high blood pressure for 15 years. In 30 days, the diet had reduced my blood pressure to 120/74, allowing me to stop taking that medication. Today in 2010 it is the same.

My doctors told me to eat whatever I wanted. They didn’t tell me that sugar and processed food, feed and energize disease and cancer. Doctors also didn’t tell me that my body would be less able to properly fight off the cancer growing inside me if it was using all its resources to digest meats, diary and heavy fats. I later learned that doctors typically get about four to eight hours of education on nutrition during eight years of medical school.

Please, DO NOT take this as MD bashing because it’s not intended to be that. It’s just fact. I owe a great deal to my surgeon at Sloan Kettering for his expertise in removing what had to be removed. He is the best in his field. But neither he nor my current oncologist know about or acknowledge macrobiotics. And they should!

I learned all of this by attending a national conference on macrobiotics in July of 2003 at the Kushi Institute Summer Conference and listening to about a several medical doctors who have traveled the same journey as me (many diagnosed with terminal cancer with two weeks or two months to live). I met more than 100 people there who share the same basic story as mine.

In August 2003, my CAT scan showed a 25 percent reduction of the liver tumor. My doctor told me to come back in six weeks for another scan. The October scan again surprised my oncologist, who couldn’t explain another drastic 45 percent reduction in the tumor. I reinforced the fact that I thought it was my diet. He simply responded by saying, “Just keep doing what you’re doing.”

Then, on Dec. 16, 2003, another scan showed no evidence of tumors. The doctor came into the room and said, “I don’t know what this miracle stuff is you’re doing but I don’t see anything on the scan.” He politely listened to our brief but enthusiastic explanation and said “keep doing what you’re doing and we’ll have you back in three months for a routine scan.” He didn’t ask any other questions once he found out it was the result of the diet I’d been on for SEVEN MONTHS!!

I wanted a quality of life no matter what the long-term prognosis might be. The need to have some control and input led me to MB. Thank God it did. It’s also very important to have a spouse or a partner to support and assist you. It would be very difficult without that.

I’m not unique. I’m fortunate to have been exposed to macrobiotics and have a dear and beloved friend, who helped me to see the path and stay the course. Macrobiotics is more than a diet. It’s an approach to balanced living, based on a balanced, wholesome diet (with natural foods), moderate exercise, and an understanding of harmony in our environment (our world and our body).

I haven’t come to understand all of the philosophical principles that are written and spoken about in MB yet. But I accept them as part of a bigger picture that will come to me in bite-sized pieces on my journey to better health and longevity. I initially focused on a strict healing diet, but after about a year started eating a standard macrobiotic diet. It takes discipline and commitment, but I have more energy and vitality than most men my age.

The greatest thing I have received from this MB journey is the ability to become responsible for my own life and health. I control my body’s energy and health by what I feed it. When I keep out toxins, feed it properly, and exercise moderately, it takes care of itself.

AngloGold says Ghana troops need to protect Obuasi after attack

AngloGold Ashanti Ltd. asked Ghana to redeploy troops at its Obuasi mine after an employee died in an attack by hundreds of illegal miners on the facility last week.

The military withdrew from Obuasi on Feb. 2 following several attacks at the site on Jan. 30 and Jan. 31, the Johannesburg-based company said in an e-mailed statement on Tuesday. Days later, hundreds of illegal miners stormed the mine about 260 kilometers (161 miles) northwest of the capital, Accra, killing a staff member.

“The onus for ensuring safety and security of individuals and property in any country, and therefore restoring safety and security to the site, lies with the authorities,” the company said.

AngloGold fired workers and put the mine on limited operations last year as costs soared and the price of bullion fell. The company needs to boost investment to gain access to the mine’s estimated 5.3 million ounces of gold deposits. Talks with Randgold Resources Ltd. to develop the site together fell apart in December. Anglogold plans to keep searching for a partner and find a solution for the mine before the end of the year.

Land and Natural Resources Minister Nii Osah Mills and Aggrey Quashie, an army spokesman, didn’t answer calls to their mobile phones or respond to text messages seeking comment. The Chamber of Mines has an agreement with the military that offers soldiers to protect mines, according to AngloGold.

You certainly don’t have a loss for words when needed. Lol  Yeah you can take care of yourself. Lol I don’t know all what goes on at those sub depths do you feel it. Do your ears feel pressure like when you scuba? I had a close friend kinda like you about 6″5 but about 250lbs years after who was a sub guy before I moved away. He says there were a couple times he got sea sick while underneath. That probably wasn’t too fun. That only happen to be once on a boat before diving because of a few drinks which I don’t drink much the night before.Thought I was gong to die if I didn’t jump in the water but could walk it off. Ruined that day though but after getting over a upper respiratory shouldn’t of been there anyways. He also mentioned being on a wet suit in really cold water. Tried to explain what it was like with few words as the perception of weakness isnt in their volcabulary but got his point stay away from freezing water. Don’t know where that came on to what he did in navy though. Wonder if that was FGC off sense of humor but who knows.

As far as ” action” In sure it doesn’t reflect on some of the chartist there but stock charts Thirdeye, Bob has made some pretty good charts. Armstrong doesn’t think the DOW will hit those low numbers though and of course a lot on PMS some with targets but we gotta see what goes on from here. Don’t know where he gets the energy but quite dedicated to charting and gives those who are too busy to check his.

Supreme Court blocks Obama carbon emissions plan

WASHINGTON (Reuters) – The U.S. Supreme Court on Tuesday delivered a major blow to President Barack Obama by blocking federal regulations to curb carbon dioxide emissions from power plants, the centerpiece of his administration’s strategy to combat climate change.

On a 5-4 vote, the court granted a request made by 27 states and various companies and business groups to block the administration’s Clean Power Plan. The move means the regulations will not be in effect while litigation continues over whether their legality.

I think the LSG-Tahoe deal is 20 or 30 cents US short of where it should have been. I’d rather see the co. remain independent than accept a poor offer. I will vote against the deal. Hopefully someone else comes in with a decent bid and to hell with the $37 million break fee.

didn’t buy LSG for a short play.   or to sell for a lousy $1+.

I don’t like that Tahoe has mines in Peru & Guatemala.   have heard less than complimentary things about their CEO.

 

I will need a lot of convincing before I like this merger.

Some of us here are LSG shareholders, and even though it is great to see the price go up, I am wondering if this agreement with Tahoe is a good deal for us.  Does this deal adequately take into account the new 144 gap zone discovery?

Much has been written over at Stockhouse saying that this is a bad deal, and I am trying to decide on how to vote on this agreement. Any ideas?

Maddog – yeah, Rogers is a smart guy and it’s nice that he gives those types of interviews and tells it like it is. Looks like the ECB is jawboning DB higher today but I suspect if they really have bad problems it’s just a bounce.

The boyz are trying to take silver back below the 200 dma to scare the T/A guys out. We’ll see what happens, it’s a Yellen day so anything can happen. Hopefully just a chance for us to reload.

Ipso – Old Bernie says some good things about the 0.1% and Wall Street.  I guess if someone likes Obaozo’s brand of socialism they’ll like Bernie’s even more? Agree with you about Hillary, she’s got some serious problems. Hard to believe she gets any votes.
